If you need to make any changes to a share issuance, you can update the details.
The changes you can make for a share issuance depends on whether the share issuance is saved as:
Draft Share Issuance
1. Navigate to Ownership > Shares > Transactions.
2. Locate the transaction and click the Actions Button > Edit.
3. You can then edit the details of the transaction and click Save as Draft to keep the changes in drafts or Publish and Notify Shareholder (if applicable).
Published Share Issuance
1. Navigate to Ownership > Shares > Transactions.
2. Locate the transaction and click the Actions Button > Change issuance details.

a) Correct the Transaction Details
This option allows you to correct the below information of a share issuance by revoking and publishing the transaction with the updated information. This will create an audit trail - you will see a revocation transaction of the initial issuance and the new published transaction. The shareholder will be notified about the correction and you will see the change history in Capdesk.
You will be able to correct the following information:
- Share class - the share class of the issuance
- Funding round - the funding round of which the shares issued is associated with, if relevant.
- Employment related - a security is employment related, when it is deemed that a person acquires it by reason of employment.
- Date - issuance date
- Registration date - the official date of entry into the shareholder register.
- Quantity - the number of shares issued
- Currency for the transaction
- Price per share
- Cost
- Payment date
- Transaction origin - a standard transaction, an issuance resulting from exercising a warrant, or a cancellation or issuance connected to a share split or share consolidation
- DOTAS reference number
- Notes and comments
- Was adjustment made for amounts subjected to apportionment for residence or duties outside the UK - where the employee is an ‘internationally mobile employee’ (IME)the income derived from the securities may be apportioned if the required conditions are met.
- Priority key - used for ordering the transactions happening the same day. The lower the priority key, the earlier it happened. It is a number between -999999 and 999999.
- External certificate ID
As the current transaction will be revoked and the updated one will be published, you will need to input a Reason for change which will be shared with your shareholder. Please note, this field is compulsory and will trigger an email notification to your shareholder.
Below, a sample of the email sent to the stakeholder regarding the modification.
b) Edit Shareholder Information
Update shareholder details such as:
- Stakeholder category
- Stakeholder label
- First, middle and last name
- Personal email
- Current legal address
- Date of birth
- Mobile number
- Personal ID - National identification number, national insurance number or social security number.
- External stakeholder ID - An external stakeholder ID is an ID registered for this stakeholder by your company, only if applicable.
- Pledges and liens
- Notes for administrators
- Documents
You can also modify stakeholders in bulk. For detailed instructions, please refer to How to modify and delete stakeholders.
c) Edit Advanced Information
This option allows you to edit the below information of a share issuance without creating an audit trail, but simply adding the information to the published transaction.
- Funding Round: If you have not allocated a funding round or need to change it, you can do so here.
- Priority key - Priority key is used for ordering the transactions happening the same day. The lower the priority key, the earlier it happened. It is a number between -999999 and 999999.
- External certificate ID
