Cap Table Overview

The Cap table provides a clear overview of the ownership structure, helping stakeholders understand who owns what portion of the company.

On Capdesk you can analyse the Cap table from different perspectives including by stakeholders, share class, stakeholder categories, and security type.

1. Navigate to Ownership > Cap table. On this page you will find the following sections:

• Cap table Overview
• Stakeholders view
• Share class view
• Security type view
• Category view
• Country view

Cap Table Overview

The overview section details:

• The Reports button will allow generating different types of reports such as the Capitalization table or Round modelling reports.
• The Settings button gives you quick access to the Stakeholder settings page ( Stakeholder access) and the Administrator settings page (Administrator access).
• The Fully diluted shares box will show the total number of shares that would be held by each stakeholder if all of the company's legal obligations towards its stakeholders were fulfilled.
• The Issued shares box will show the total units of ownership held by shareholders.
• The Outstanding in pool box will show the number of shares issued out of the authorised incentive pool that haven't been exercised or deferred.
• The Available in pool box will show the number of authorised shares in the incentive pool at the disposal of the company for future allocation.
• Different types of filters such as Search by name, Category or Security type allows you to filter your stakeholders data.
• The Show inactive button allows you to see any stakeholders that no longer hold any equity within the company.

Stakeholders View

This section will reflect all stakeholders, providing information such as the total number of their securities, the percentage of votes and ownership or their country. Click the dropdown arrow on the left-hand side of your stakeholders' name for a breakdown of their securities by share class.

Click the Actions Button on the right-hand side of your stakeholders' name for the following actions:

• Preview dashboard
• Inspect transactions - a new page will open detailing all securities of a certain stakeholder
• Register offline share issuance
• Register offline share transfer
• Register offline share cancellation
• Register offline share conversion
• Reinvite stakeholder to Capdesk
• Edit stakeholder

Share Class View

This section will provide a summarized breakdown of the current share classes detailing information such the total number of shares or the Votes and Ownership percentages within a share class. Click the dropdown arrow next to a share class for a breakdown of the security types within the share class.

Security Type View

This section will provide a summarized breakdown of the current security types detailing information such the total number of shares or the Votes and Ownership percentages for that security type. Click the dropdown arrow for a breakdown of the security type share classes.

Category View

This section will provide a summarized breakdown of the current stakeholder categories detailing information such the total number of shares or the Votes and Ownership percentages for that specific category. Click the dropdown arrow for a breakdown of the stakeholder category share classes.

Country View

This section will provide a summarized breakdown of the current stakeholder countries detailing information such the total number of shares or the Fully diluted percentages for that specific country.
