Company administrators can choose what information they will share with different groups of people in their cap table.
When issuing shares, equity or establishing new funding rounds as well as new valuations, it is important to decide what information will be made available to your stakeholders in the cap table.
In Capdesk, stakeholders are divided into three groups:
- Investors - These are strictly the investors that invested in the company by buying shares in a funding round or having shares converted from a convertible loan note. This group does not include grantholders who exercised their shares from grants.
- Grantholders - People who have been given equity such as Options, Warrants, RSUs, Share grants, etc.
- Former Stakeholders - Individuals that had equity/shares in the company's cap table at some point, but they do not currently hold anything or have been terminated.
1. To set the right parameters, navigate to Settings > Stakeholder Settings.
1. In General settings , you can tick/untick these boxes to set the right configuration for stakeholders in general.
- Always synchronise user data to associated stakeholders - This will feed your cap table with changes that stakeholders perform on their end. For example, if they change their last name on their Capdesk account, their last name will change in the cap table as well.
- Notify administrators when user synchronises stakeholders - This will trigger a notification to company administrators whenever a user changes anything on their Capdesk accounts and this changes flows to the cap table.
- Notify stakeholders about their open tasks via email - This will send emails to your stakeholders if they have pending tasks on their Capdesk accounts such as the acceptance of a grant or shares.
- Keep your grantholders informed about their equity and when there are updates to it - By ticking this box you are authorising Capdesk to send a set of emails periodically to your grantholders informing them about their equity.
You can tick/untick the box to establish the right settings. Make sure you click Save at the bottom of the page so that the settings are effective.
3. In Access Settings > Investors you will be able to determine what your investors are able to see on their end when logging into their Capdesk accounts. Their level of access is categorized into Restricted, Basic, Advanced or Full.
4. In Access Settings > Grantholder, you will be able to set the right access for the individuals who hold equity in your company.
Their levels of access may be:
- Restricted - They will only be able to see their holdings such as the number of options as well as their vesting schedules.
- Basic - With Basic level of access they will be able to see their holdings and current / historical valuations.
- Advanced - They will have access to their holdings, valuations and also the Equity Calculator in which they will be able to estimate the value of their equity based on hypothetical future company valuations.
5. In Access Settings > Former stakeholders you will notice that for this group in specific, the only level of access they will have is Restricted which enables them to see their personal holdings.
